What does this entail?
A Creditors’ Voluntary Liquidation (CVL) is a formal insolvency process that should be initiated by the directors and implemented by shareholders when a company is unable to meet its liabilities as and when they fall due. Unlike compulsory liquidation, a CVL is commenced voluntarily, allowing the company to take proactive steps to address insolvency in an orderly and efficient manner.
In a CVL, a liquidator is usually appointed by the shareholders, but the ultimate decision as to who should be liquidator, vests with the creditors. The liquidator assumes control of the company, realises assets, investigates its affairs, agrees creditors’ claims and distributes available funds to creditors in accordance with their order of priority. The process is designed to ensure transparency, fairness and compliance, while bringing the company’s operations to an end.

When is it appropriate?
A CVL is appropriate where a company is insolvent and recovery or restructuring is no longer viable or where directors wish to act responsibly and minimise personal exposure and/or escalation of creditor pressure. It is often used where ongoing trading is unsustainable, losses are increasing and/or creditor demands cannot be met.
This process allows directors to address insolvency in a controlled way, avert the risk of compulsory liquidation and demonstrate compliance with their statutory duties during financial distress.
